TECHNOPOLIS DECIDES ON SHARE OFFERING RELATED TO ACQUISITION OF
MAJORITY HOLDING IN TAMPERE SCIENCE PARKS
Technopolis Plc has decided on a share offering related to the
acquisition of a majority holding in Tampere Science Parks Ltd.
Final execution of the share transaction is conditional on the
City of Tampere and Technopolis achieving a negotiated agreement,
satisfactory to both parties, on the terms and conditions of the
deed of sale. The negotiation concerns 95.83 % of Tampere Science
Parks Ltd's shares, and the parties signed a preliminary agreement
on this share acquisition on September 11, 2006. The intention is
to sign the final deed of sale on October 10, 2006 and the final
acquisition price is estimated to become clear on October 12,
2006. About 40 % of the acquisition price will be paid in
Technopolis Plc shares and the rest in cash.
In order to pay a consideration for the shares, the Technopolis
Board of Directors decided, under the authorization granted to it
by the Annual General Meeting of March 24, 2006, to offer a
maximum of 1,727,135 new shares to the shareholders of Tampere
Science Parks Ltd. The total amount of the shares to be issued
will correspond to no more than approximately 4.3 percent of the
share capita and votes of Technopolis Plc after the share issue.
The subscription of shares is planned to take place during the
period October 13, 2006 – November 30, 2006. As of the date of
registration of the shares, they will carry the same rights as the
Technopolis shares that are already subject to public trading. The
intention is to enter the share capital increase for the most part
in the Trade Register on or about October 18, 2006. Technopolis
will apply to commence trading in the new shares on the Main List
of the Helsinki Stock Exchange, together with the company's other
shares, mostly from October 19, 2006.
