TECHNOPOLIS SIGNS AGREEMENT TO ACQUIRE MAJORITY HOLDING IN TAMPERE
Technopolis Plc has today agreed with the City of Tampere on the
acquisition of a majority holding in Tampere Science Parks Ltd.
When the transaction is executed, Technopolis will hold 95.83 % of
Tampere Science Parks' shares. The remaining Tampere Science
Parks' shares are owned by five shareholders to whom a purchase
offer will be made.
Based on the negotiations between Technopolis and the City of
Tampere and the net debt position of Tampere Science Parks at
August 31, 2006, the acquisition price will be approximately EUR
20 million. If the net debt position has changed, the price will
be adjusted correspondingly. The final acquisition price will
become clear at or about October 24, 2006. About half of the price
will be paid in Technopolis shares and half in cash. Acting under
the authorization granted by the Annual General Meeting on March
24, 2006, and in order to pay for the share consideration, the
Technopolis Board of Directors decided at September 27, 2006 to
offer a maximum of 1,727,135 new Technopolis shares to the
shareholders of Tampere Science Parks.
Tampere Science Parks Ltd specializes in the production of
operating environments and office facilities for technology-
oriented businesses. Tampere Science Parks owns, leases and builds
office facilities and related user services for high-technology
needs. The company's premises house 130 enterprises employing 1300
people. Tampere Science Parks Ltd's IFRS pro forma net sales for
this year are EUR 3.4 million and EBITDA is EUR 1.3 million. The
rentable surface area of the premises leased and administered by
the company is 38,023 square meters.
In terms of the number of clients, Technopolis Plc is one of
Europe's largest technology centers. It specializes in providing
operating environments for high tech companies and offers a
comprehensive service package combining modern premises and
business and development services. Technopolis operates in Oulu,
Vantaa, Espoo, Lappeenranta, Jyväskylä and now also Tampere. It is
preparing to expand its operations to Russia. Some 12,000 people
employed by 930 companies are working in its technology centers.
